Please read these Terms of Service (“Terms”) carefully before using the website, applications, or services (collectively, the “Services”) operated by OnPointBooking, LLC (“Company,” “we,” “us,” or “our”).

1.Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these terms, do not access or use the Services. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2.Eligibility and Account Security

To use certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.Fees, Billing, and Subscriptions

Billing

Certain portions of our Services are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (monthly or annually) depending on the plan you select.

Payment Processors

All payments are processed through our third-party merchant service provider (Stripe). By submitting your payment details, you authorize us to share this information with our processor.

Cancellations and Refunds

You may cancel your Subscription at any time through your account dashboard. Unless required by law, all payments are non-refundable, and we do not provide credits for partially used subscription periods.

4.Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all software, code, algorithms, user interfaces, text, displays, images, and video) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly for your internal business or personal use.

5.Prohibited Uses

You agree not to use the Services:

  • In any way that violates applicable federal, state, local, or international law.
  • To reverse engineer, decompile, or attempt to extract the source code of the software components.
  • To upload or transmit viruses, malware, or malicious code designed to disrupt platform performance.
  • To scrape, crawl, or harvest data from the Services without our express written consent.

6.Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

7.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OnPointBooking, LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8.Governing Law and Jurisdiction

All matters relating to the Services and these Terms shall be governed by and construed in accordance with the internal laws of the State of California, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts located in California.
